We are involved in strategy, drafting, vetting, negotiating and execution of numerous business contracts. Whether a standard-form contract or an incredibly complex deal, we make it our business to ensure that clients get what they expect, consider all alternatives and do not assume any unexpected obligations.

We are adept at handling common legal issues whether internal to companies or relating to the specific industries they belong to. Examples of some of the contracts that we regularly work on are vendor contracts, service agreements, consultancy agreements, licensing arrangements, property related agreements, clickable contracts, contracts in the e-commerce sector, software agreements (licensing, SaaS, implementation, and AMC), investments (term sheets, definitive agreements, legal due diligence), technical know-how agreements, R&D and IP contracts.

We are friendly communicators and can skilfully lead the softer aspects of negotiations. Our clients have retained us for years, and thanks to these long-term relationships, we have worked closely with many of our clients to set up robust contract management processes for many of them. Transaction Advisory

We have led a host of transactions throughout the life cycle of a business, from regular business contracts to investment agreements, strategic partnerships, financing, and acquisitions.

We are advising our clients in transactions planning, due diligence, corporate governance, transaction structures, managing risks, negotiations, executions, and have provided coordinated guidance in the post-transaction phase.

We continue to oversee implementation of major cross border transactions and domestic sales, from the concept stage to post-closing and beyond. During our work, we have had the chance to work on the execution of some interesting and challenging work including private equity and funding deals, investments, security funding, equity buy-outs, mergers and acquisitions, sale, business transfers, major group restructuring, and debt funding.

We have advised on transactions in various industries: software, services, manufacturing, FMCG, media, digital media, payment space, IoT, EdTech, e-commerce, healthcare and other industries. We routinely draft, review, and finalize transaction documentation from Term Sheet to definitive agreements and conduct legal due diligence for investors as well as targets.

Outside General Counsel Services

We have designed this service vertical specifically to cater to businesses that either do not have dedicated legal counsel in-house, or routinely have to outsource work to external law firms due to heavy workload.

Outside GC services meet two important needs for our clients: cost savings and speed. It gives them an economical option to deal with general, day-to-day legal issues, without compromising on the ability to quickly deal with legal issues as and when they arise.

For companies with no in-house legal staff, our outside GC services make financial sense and ensure that legal matters are handled promptly. This arrangement gives young companies a way to handle their legal matters with high quality expertise and at the same time avoid paying the kind of fees traditional law firms charge.

For companies with in-house support or General Counsel, we serve as an extension of their department. If and when the workload goes beyond capacity of the in-house teams, we provide general counsel on an as-needed basis and at a fraction of the cost of traditional external counsel.
